This license agreement and terms of use govern the access to and use of the application named “Hi, it’s oN me” and its related services, made available by Genia Business S.r.l., with registered office at Via Caduti del Pilastro 8, 40055 Castenaso (Bologna), Italy, hereinafter also referred to as “Genia Business”, the “Company”, or the “Data Controller”[cite: 1].
The App “Hi, it’s oN me”, hereinafter also referred to as the “App” or the “Platform”, is a digital platform owned by Genia Business S.r.l. designed to enable users to create, organize, promote, and participate in events, initiatives, and social gatherings, as well as to enable commercial, professional, and business entities, hereinafter also referred to as “Partners”, to be present on the Platform and organize, promote, and manage events aimed at users, including through specific features made available by the Company[cite: 1].
By downloading the App, registering, and using its services, the user declares to have read, understood, and fully accepted this license agreement and terms of use, hereinafter also referred to as the “Agreement”[cite: 1].
Acceptance of this Agreement does not replace the privacy policy provided pursuant to Regulation (EU) 2016/679, to which reference is made regarding the processing of personal data of users, Partners, and other data subjects[cite: 1].
The user may access the services offered through the App via mobile devices upon registration and creation of a personal account[cite: 1]. Registration entails the provision of data and information necessary for account creation and Platform use, which will be processed in accordance with Genia Business's privacy policy[cite: 1]. The registration, authentication, and digital identity management procedures also utilize the technological infrastructure provided by Clerk[cite: 1].
To access the App and use the services, the user must complete the registration procedure by providing truthful, complete, and updated information[cite: 1]. The user is responsible for the accuracy of the data provided and undertakes to keep it updated throughout the use of the Platform[cite: 1]. Genia Business is not liable for consequences resulting from inaccurate, incomplete, outdated data or data relating to third parties entered without proper authorization[cite: 1].
The user acknowledges being solely responsible for safeguarding their account access credentials and for any activity carried out through the account[cite: 1]. The user agrees to promptly notify Genia Business of any unauthorized use of their account or any security breach of which they become aware[cite: 1].
The App allows users, within the limits of available features, to create events, attend events hosted by other users or Partners, interact with other users, use attendance confirmation mechanisms, leave feedback, and benefit from any reward, reputational, or subscription systems provided by the Platform[cite: 1].
The user may delete their account and withdraw from this Agreement following the procedures provided in the App, without prejudice to any data retention required of Genia Business under applicable law and its privacy policy[cite: 1]. Genia Business reserves the right to suspend, restrict, or terminate access to the App in case of a breach of this Agreement, unlawful or improper use of the Platform, conduct harmful to other users, Partners, or the Company, or for technical, organizational, security, maintenance, or service evolution purposes[cite: 1].
Genia Business does not guarantee continuous and uninterrupted access to the App and services, as use may be suspended or interrupted due to technical, maintenance, evolutionary, strategic reasons, force majeure, or causes beyond the Company’s control[cite: 1]. In such instances, the user may not make any claim for compensation, indemnity, or reimbursement against Genia Business, except as mandatory under the law[cite: 1].
The App allows the creation, publishing, promotion, and management of events by users and Partners, as well as participation by other Platform users[cite: 1]. Events may be organized independently by users, by Partners, or, where applicable, by Partners with promotional, operational, or commercial support from Genia Business[cite: 1].
Genia Business provides a technological infrastructure aimed at facilitating connections between attendees, event hosts, and Partners[cite: 1]. Unless otherwise agreed in writing, Genia Business does not act as event organizer and assumes no liability for actual execution, venue management, participant safety, obtaining permits or licenses, regulatory compliance, or the quality of services provided by the Partner or organizer[cite: 1].
The user organizing an event, or the Partner publishing and managing an event through the App, is solely responsible for the details entered, description accuracy (even when drafted with optional writing assistance from AI tools such as ChatGPT), attendance terms, capacity limits, venue safety, and regulatory compliance[cite: 1]. Genia Business reserves the right to remove or restrict the visibility of events deemed non-compliant with this Agreement, applicable regulations, user safety, or the Platform's standards[cite: 1].
The application is strictly restricted to adult users (18+ years of age)[cite: 1]. In accordance with applicable laws and Google Play Child Safety Standards, it is expressly prohibited to upload, share, transmit, or facilitate content constituting Child Sexual Abuse and Exploitation (CSAE), Child Sexual Abuse Material (CSAM), or grooming behaviors[cite: 1]. Any violation will result in immediate permanent account termination and referral to law enforcement authorities[cite: 1]. Urgent reports can be submitted via in-app tools or sent to info@geniabusiness.com[cite: 1].
In accordance with this Agreement, Genia Business grants the user a personal, non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to install and use the App solely to access the services provided[cite: 1]. The license is granted strictly for using the App in accordance with the terms herein[cite: 1].
It is understood that Partners, as commercial or business entities using the Platform, are authorized to use the App strictly within the functionalities necessary for event promotion, creation, management, presence on the Platform, and activities authorized by Genia Business[cite: 1].
Genia Business is the exclusive owner of the App, software, source code, structure, design, logos, trademarks, and all proprietary intellectual property rights connected to the Platform, excluding third-party or user-generated content[cite: 1]. Using the App does not grant the user or Partner any property rights, trademark licenses, or exploitation rights other than those expressly provided herein[cite: 1].
Users and Partners are strictly prohibited from copying, reproducing, distributing, modifying, decompiling, reverse engineering, attempting to access the source code, creating derivative works, licensing, or selling the App in violation of the law, this Agreement, or the rights of Genia Business and third parties[cite: 1].
It is likewise prohibited to deploy automated systems (including robots, spiders, scrapers, crawlers, algorithms, or scripts) to interfere with the App's operation, extract unauthorized data, or compromise security[cite: 1].
Users and Partners are liable for any damages, costs, or claims arising from unauthorized use of the App or breaches of this Agreement[cite: 1].
Partners may use the App to establish a presence on the Platform, promote their business, publish events, receive attendance requests, and utilize features provided by Genia Business[cite: 1].
Partner activities may involve independently organized events (at the Partner’s sole care and expense) or events for which the Partner requests Genia Business's promotional or financial support (such as “Tour Events”, “HIOM Tour Events”, or “Sponsored Events”)[cite: 1].
For Tour Events, Partners may use graphic layouts, promotional assets, and templates provided by Genia Business solely for event promotion during the agreed collaboration period[cite: 1]. Any additional use requires prior written consent from Genia Business[cite: 1].
For independently organized events, the Partner remains fully responsible for design, organization, management, and service delivery[cite: 1]. For sponsored events, specific conditions must be agreed upon in writing; unless otherwise specified, the Partner retains all responsibility for venue and service quality[cite: 1].
Partner presence on the Platform may be subject to a monthly subscription fee, presence fee, or other agreed commercial terms[cite: 1].
Partners are under no obligation to host sponsored events or HIOM Tour Events[cite: 1]. However, should a Partner choose to participate, each sponsored initiative will be governed by a separate written agreement[cite: 1].
If a Partner hosts at least two sponsored events via HIOM within a given calendar month under written agreement with Genia Business, the Company may waive that month’s subscription or presence fee as agreed[cite: 1].
Failing to host two sponsored events in a month does not constitute a breach by the Partner, but will result in the regular application of the standard monthly subscription or presence fee[cite: 1].
Any fee waivers, benefits, or reimbursements granted to Partners regarding sponsored events are not automatic, permanent, or generalized, and must be set forth in specific individual agreements[cite: 1].
Partial reimbursements or incentives provided by Genia Business (such as contributions toward food/beverages or complimentary passes) are determined on a case-by-case basis and do not constitute a permanent obligation of Genia Business[cite: 1].
Platform use is governed by this Agreement, the Privacy Policy issued pursuant to Regulation (EU) 2016/679, and any specific commercial or operational terms executed separately[cite: 1].

Specific written agreements executed separately with Partners take precedence over this Agreement solely regarding matters expressly addressed therein[cite: 1].
The App may offer free and paid features, subscription tiers (such as Silver or Gold plans), premium services, or virtual credits[cite: 1]. Pricing, duration, limitations, and terms will be detailed inside the App or across official channels[cite: 1].
Users acknowledge that premium plans may provide expanded feature sets, higher participation caps, or promotional perks determined by Genia Business[cite: 1].
Genia Business reserves the right to modify, suspend, or terminate subscription plans or prices in accordance with applicable consumer law[cite: 1]. Payment processing, renewals, and cancellations are handled via the Stripe platform and relevant digital app stores[cite: 1].
Purchasing a paid tier does not guarantee specific attendance numbers, event success, or guaranteed Partner availability[cite: 1].
The App may incorporate an internal reward system designated as “Good Karma Points” to incentivize community engagement and positive behavior[cite: 1].
Good Karma Points are internal features lacking monetary value, cannot be converted into cash, cannot be transferred outside the Platform, and are reserved strictly for private users (excluding Partners)[cite: 1].
Points may be earned or deducted based on actions including onboarding completion, attending events, scanning QR codes at partner venues, leaving feedback, inviting friends, or organizing completed gatherings[cite: 1, 2].
Points may be redeemed for extra features or perks established by Genia Business, which reserves the right to adjust point calculation, expiration, or revocation rules to counter abuse or fraudulent activity[cite: 1].
Good Karma Points do not constitute electronic money, financial products, or claimable credit against Genia Business[cite: 1].
The App may utilize an internal Reliability Score to track long-term user behavior, curb no-shows, and maintain event quality[cite: 1]. This score does not apply to Partner venues and fluctuates based on attendance, host punctuality, timely cancellations, or unexcused host absence[cite: 1, 2].
The Reliability Score is distinct from Good Karma Points and serves organizational, safety, and community moderation purposes, potentially resulting in account warnings, temporary suspensions, or bans[cite: 1].
Users confirming attendance via QR code may leave feedback regarding event hosts, experiences, or partner venues, contributing to aggregate ratings and badges[cite: 1].
To differentiate attendee no-shows from host absences, the App may verify host and attendee presence via QR scans, user reports, and temporary approximate geolocation near the venue[cite: 1].
Location checks occur solely with user permission[cite: 1]. Specifically, prior to scheduled start times, the App checks whether the host has arrived within the defined venue radius[cite: 1]. If mobile data is offline during the check, location data is saved locally on the device, transferred to AWS servers (Frankfurt datacenter) upon reconnection, and instantly cleared from local storage[cite: 1].
Location records transmitted to the server are used strictly for technical attendance validation and are erased immediately following verification[cite: 1]. Genia Business does not track users continuously nor maintain movement history[cite: 1].
Genia Business reserves the right to revise scoring criteria, badges, and reputational mechanisms to safeguard community standards[cite: 1].
Users and Partners are solely responsible for content uploaded or published on the App, including texts, photos, descriptions, safety details, and pricing[cite: 1].
It is prohibited to post content that is unlawful, defamatory, obscene, discriminatory, violent, infringing on third-party intellectual property or privacy rights, or otherwise contrary to public order[cite: 1].
Genia Business reserves the right (without assuming a general monitoring duty) to remove, restrict, or edit content deemed non-compliant with this Agreement or detrimental to the Platform's reputation[cite: 1].
To the maximum extent permitted by applicable law, the App and services are provided on an “as is” and “as available” basis[cite: 1]. Genia Business makes no warranties regarding uninterrupted availability, error-free operation, or suitability for particular commercial purposes[cite: 1].
Genia Business does not guarantee turnout figures, interaction outcomes, Partner service quality, or commercial/financial results[cite: 1].
Genia Business may modify, update, or suspend Platform operations for technical, maintenance, or business needs without incurring liability, subject to mandatory statutory rules[cite: 1].
To the extent permitted by law, Genia Business is not liable for direct, indirect, or consequential damages resulting from App usage, event attendance, user interactions, technical outages, unauthorized access, or third-party actions[cite: 1].
Genia Business assumes no liability for attendee conduct at events, host absenteeism, event cancellations, partner food/beverage quality, or separate agreements formed directly between users and Partners[cite: 1].
Users and Partners acknowledge that attending offline events and accessing physical spaces involves inherent risks; participants are expected to act with ordinary prudence and respect for applicable laws[cite: 1].
Users and Partners agree to indemnify and hold harmless Genia Business, its directors, employees, and consultants from any claims, damages, liabilities, or legal expenses arising from their use of the App, regulatory breaches, IP infringements, or conduct associated with hosted events[cite: 1].
The App may link to third-party services, app stores, or payment providers[cite: 1]. Genia Business is not responsible for the availability, security, or terms of third-party platforms, which are accessed at the user’s sole discretion[cite: 1].
Reasonable security precautions are deployed, but immunity from viruses, malware, or digital vulnerabilities cannot be guaranteed[cite: 1].
Users may report misconduct, abusive content, or contractual breaches using the in-app mechanisms or official contact channels[cite: 1].
Genia Business may investigate reports and take appropriate measures, including content removal, badge revocations, feature limitations, or account closures[cite: 1].
Genia Business reserves the right to update this Agreement, App features, or pricing models in compliance with applicable laws[cite: 1].
Updates will be communicated via the App or website[cite: 1]. Continued use after changes are published constitutes acceptance; users who disagree may delete their account and cease usage[cite: 1].
This Agreement is governed by Italian law[cite: 1]. For any dispute, the parties agree to first attempt mediation through the Mediation Body of the Bologna Bar Association (or other competent body)[cite: 1].
If unresolved, exclusive jurisdiction lies with the Court of Bologna, Italy, without prejudice to mandatory statutory provisions protecting consumers[cite: 1].
Genia Business may assign this Agreement, in whole or in part, in the context of corporate restructuring, mergers, or asset sales[cite: 1]. Users may not assign their rights or obligations without prior written consent from Genia Business[cite: 1].
Failure by Genia Business to enforce any right hereunder shall not constitute a waiver[cite: 1]. If any provision is deemed unenforceable, remaining terms remain in full force[cite: 1].
No agency, employment, joint venture, or partnership relationship is created between Genia Business and users or Partners[cite: 1]. This document represents the entire agreement between the parties regarding the App, superseding prior understandings[cite: 1].
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, where applicable, the user specifically reviews and approves clauses governing access/suspension, license scope, partner terms, paid plans, Good Karma Points, Reliability Scores, content liability, warranty disclaimers, limitations of liability, indemnification, unilateral modifications, applicable law, jurisdiction, and assignment[cite: 1].
